§ 1 Scope of Application, Form
(1) These general terms and conditions of sale apply to all contracts concluded via our online shop between our customers and us (Werner Voß GmbH Handel & Marketing, represented by our managing directors Andrea Voß and Werner Voß, Feldstiege 60, D-48161 Münster, Tel.: +49 2533 91999-0, Fax: +49 2533 91999-11, Email: email@example.com). They shall only apply if the customer is an “entrepreneur”, as defined in Section 14 of the German Civil Code (BGB), a legal person incorporated under public law or a special fund incorporated under public law.
(2) These general terms and conditions of sale particularly apply to contracts for the sale and/or delivery of movable objects (“goods”), regardless of whether we manufacture the goods ourselves or purchase them from suppliers (see Sections 433, 650 BGB). All agreements made between us and the customer with regard to the purchase contract shall particularly result from these general terms and conditions of sale, our written order confirmation and our declaration of acceptance.
(3) The applicable version of the general terms and conditions of sale shall be the one valid at the time the contract is concluded.
(4) We shall not accept any deviating terms and conditions of the customer. This shall apply even if we do not explicitly object to the inclusion of such terms and conditions.
(5) Any references to the validity of the statutory provisions are only made for clarification purposes. The statutory provisions shall therefore also apply without such clarifying references, unless they are directly amended or explicitly excluded by these general terms and conditions of sale.
§ 2 Conclusion of Contract
(1) The presentation and promotion of items in our online shop does not constitute a binding offer to conclude a purchase contract.
(2) By clicking on the “Purchase (Acheter maintenant)” button and submitting an order via the online shop, the customer shall place a legally binding order. The customer shall remain bound to the order for two (2) weeks after its submission.
(3) We shall immediately send the customer an email to confirm that we have received the order placed via our online store. Such an email shall not constitute the binding acceptance of the order, unless we accept the order and confirm its receipt at the same time.
(4) A contract shall only be concluded when we accept the customer’s order by issuing an order confirmation or delivering the requested items.
(5) We may only be able to consider orders with a minimum value. The minimum order value shall be indicated in the information provided in our online shop.
(6) If we are unable to deliver the goods ordered by the customer (e.g. because the relevant goods are not in stock), we shall refrain from accepting the order. In such cases, a contract shall not be concluded. We shall immediately inform the customer and immediately return any payments received.
§ 3 Delivery Times, Delivery Delays and Right to Demand Advance Payments
(1) We shall only be entitled to make partial deliveries if they can be used by the customer for the contractually intended purpose, if the delivery of the remaining goods is ensured and if the customer does not incur any significant additional expenditure or costs as a result.
(2) Unless otherwise agreed, the delivery time shall be approximately 1-2 working days within Germany (excluding islands) and approximately 2-7 working days in other countries (excluding islands). The delivery window shall begin when the contract is concluded, subject to the provisions of § 3 (3) below.
(3) If orders are placed by customers whose place of residence or business is located not within Germany and we have a justified reason to assume a risk of non-payment, we reserve the right to refrain from delivering the goods until we have received the purchase price plus shipping costs (right to demand an advance payment). If we intend to exercise our right to demand an advance payment, we shall immediately inform the customer. In such cases, the delivery window shall begin when the purchase price and shipping costs have been paid.
(4) If we cannot meet a binding delivery deadline for reasons not attributable to us (unavailability of the service), we shall immediately inform the customer and indicate the new expected delivery date. If the service cannot be provided by the new delivery date, we shall be entitled to withdraw from all or part of the contract; we shall immediately reimburse the customer for any payments that have been made. The service shall particularly be considered unavailable in this sense if we do not receive deliveries on time from our supplier, provided we have concluded a congruent hedging transaction, neither we nor our supplier are at fault or we are not obliged to procure the goods in a particular case.
(5) The onset of a delivery delay shall be determined by the statutory provisions. However, the customer must first issue a reminder in each case. If we default on a delivery, the customer may demand lump-sum compensation for the damage caused by the delay. The lump-sum compensation for damages shall amount to 0.5% of the net price (delivery value) of the delayed goods for each full calendar week of delay, but no more than 5% of the delivery value of the delayed goods. We reserve the right to prove that the customer has incurred less damage than the above lump sum or no damage at all.
(6) Notwithstanding the above, the customer may exercise the rights described in § 8 of these general terms and conditions of sale and we may exercise our statutory rights, particularly if we are released from our obligation to perform the contract (e.g. due to the impossible or unreasonable nature of the service and/or rectification measures).
§ 4 Delivery, Transfer of Risk, Acceptance, Delayed Acceptance
(1) As our deliveries shall be ex works, unless otherwise agreed in a certain case, our warehouse shall be the place of performance for the delivery and any rectification measures. By way of derogation from the above, deliveries within Germany (excluding German islands) shall be free of charge if the value of the goods exceeds EUR 1,500 (per delivery). The goods may be shipped to another destination at the customer’s request and expense (sale involving the carriage of goods). Unless otherwise agreed, we shall be entitled to choose the type of shipping ourselves (particularly the transport company, shipping route and packaging).
For international deliveries, transportation is free until German border if order volume exceeds € 1500. For bulky goods we can charge freight, even if the order value exceeds € 1500. From the German border and if the value is below € 1500 in particular, actual freight costs will be charged.
(2) The risk of accidental loss and deterioration shall be transferred to the customer, at the latest, when the goods are handed over to the customer. In the case of sales involving the carriage of goods, however, the risk of accidental loss and deterioration and the risk of delay shall be transferred to the forwarding agent or carrier – or any other person or institution assigned to carry out the shipment – as soon as the goods are handed over. If a formal inspection and acceptance procedure is agreed, this shall determine when the risk is transferred to the customer. The statutory provisions on contracts for work and services shall also apply accordingly to any agreed acceptance procedure. The goods shall be deemed to have been handed over or accepted if the customer fails to accept them on time.
(3) If the customer fails to accept the goods on time, if the customer fails to cooperate or if our delivery is delayed for other reasons attributable to the customer, we shall be entitled to claim compensation for the resulting damage, including any additional expenses (e.g. storage costs). In such cases, we shall charge a lump sum of compensation amounting to 0.5% of the net price (delivery value) for each completed calendar week, starting with the delivery deadline or, in the absence of a delivery deadline, starting from the moment in which the customer is notified that the goods are ready for dispatch, but not exceeding 5% of the net price.
We reserve the right to prove that we have incurred greater damage and to assert our legal claims (particularly our right to demand the reimbursement of additional expenses, reasonable compensation, termination); however, the lump sum described above shall be deducted from any further monetary claims. The customer shall be entitled to prove that we have incurred significantly less damage than the above lump sum or no damage at all.
(4) In the event of transport damage or incomplete deliveries, irrespective of the provisions of § 7 (5) below, the customer shall be obliged to have a record immediately drawn up by the carrier. We must be immediately informed at the same time.
§ 5 Prices and Changes
(1) All prices indicated in our online shop shall be net prices plus the statutory rate of value added tax and shall not include any shipping costs.
(2) The shipping costs shall be indicated in our price information in the online shop. These prices may vary in some cases.
(3) If we execute the customer’s order with partial deliveries, as stipulated in § 3 (1) above, the customer shall only incur shipping costs for the first partial delivery. If partial deliveries are made at the customer’s request, we shall charge shipping costs for each partial delivery.
(4) In the case of contracts with an agreed delivery time of more than 2 months, we reserve the right to increase our prices to account for any subsequent cost adjustments due to changes in the price of materials from our suppliers, due to changes in freight prices, due to changes in exchange rates or due to the introduction or change of any public charges. In the same way and to the same extent, we shall be obliged to immediately reduce our prices in the event of any cost reductions. Any cost increases and reductions shall be offset.
(5) In the case of sales involving the carriage of goods, as described in § 4 (1) above, the customer shall cover the costs incurred to transport the goods from the warehouse and the cost of any transport insurance requested by the customer. Any customs duties, fees, taxes and other public charges shall be borne by the customer.
§ 6 Terms of Payment, Right to Offset and Right of Retention
(1) The customer must pay the purchase price and shipping costs, at the latest, within two (2) weeks after receiving our invoice. However, we shall be entitled to make all or part of a delivery subject to a prepayment at any time, even during an ongoing business relationship. We shall announce such a proviso, at the latest, when issuing the order confirmation.
(2) We shall offer the customer individually negotiated payment methods for the payment of the purchase price.
(3) The customer shall not be entitled to offset any claims against our own claims, unless such counterclaims are undisputed or legally established. The customer shall also be entitled to offset claims against our own claims if the customer asserts notices of defects or counterclaims from the same purchase contract.
(4) The customer may only exercise a right of retention if the relevant counterclaim is based on the same purchase contract.
(5) The customer shall be deemed to be in arrears at the end of the above payment deadline. The purchase price shall accrue interest at the statutory rate of default interest during the period in which the customer is in arrears. We reserve the right to assert further claims for damages caused by the late payment. If the customer is a merchant, we also reserve the right to charge commercial maturity interest in accordance with Section 353 of the German Commercial Code (HGB).
(6) The customer shall only be entitled to exercise a right to offset claims or a right of retention if its counterclaims are undisputed or legally established. If defects are found in the goods, however, the customer shall be entitled to exercise certain rights, particularly those stipulated in the second sentence of § 8 (7) of these general terms and conditions of sale.
(7) If it becomes apparent that our claim to the purchase price is jeopardised by the customer’s solvency after the contract has been concluded (e.g. if an application is filed for insolvency proceedings), we may refuse to provide our services and, perhaps after setting a grace period, to withdraw from the contract in accordance with the statutory provisions (Section 321 BGB). In the case of contracts for the production of custom-made items, we may declare our withdrawal immediately; the legal provisions on the dispensability of setting a grace period shall remain unaffected.
§ 7 Retention of Title
(1) We shall retain ownership of the goods until all present and future claims arising from the purchase contract and our ongoing business relationship (secured claims) have been settled in full.
(2) The goods subject to retention of title must not be pledged to third parties or assigned as security until the secured claims have been settled in full. The customer must immediately notify us in writing if an application is filed for insolvency proceedings or if the goods belonging to us are accessed (e.g. seized) by third parties.
(3) If the customer breaches the contract, particularly by failing to pay the purchase price owed for the goods, we shall be entitled to withdraw from the contract in accordance with the legal provisions and/or to demand the return of the goods subject to retention of title. If we choose to demand the return of the goods, this shall not automatically mean that we wish to withdraw from the contract; we shall be entitled to demand the return of the goods and reserve the right to withdraw from the contract. If the customer does not pay the purchase price owed for the goods, we may only assert these rights if we have previously set the customer a reasonable grace period for the payment to no avail or if such a grace period is not necessary according to the statutory provisions.
(4) The customer shall be authorised to resell and/or process the goods subject to retention of title within its ordinary course of business until this authorisation is revoked, as detailed in (c) below. In such cases, the following provisions shall also apply:
(a) The retention of title shall extend to the full value of the products resulting from the processing, mixing or combination of our goods; we shall be considered the manufacturer. If our goods are processed, mixed or combined with third-party goods and the relevant third parties retain their ownership rights, we shall acquire co-ownership in the ratio of the amount invoiced for each part of the processed, mixed or combined goods. Otherwise, the resulting product shall be subject to the same provisions as the goods delivered under retention of title.
(b) The customer hereby assigns to us, by way of security, any claims held against third parties as a result of the resale of the goods or the resulting products – in whole or corresponding to the co-ownership share, as detailed in the previous paragraph. We hereby accept the assignment. The obligations of the customer detailed in § 7 (2) above shall also apply with regard to the assigned claims.
(c) Both we and the customer shall be entitled to collect the claims. However, we shall refrain from collecting the claims as long as the customer complies with its payment obligations towards us, as long as the customer remains solvent and as long as we do not assert the retention of title by exercising one of the rights described in § 7 (3) above. If this is the case, however, we may ask the customer to notify us of the assigned claims and the debtors, to provide all information required to collect the receivables, to hand over the associated documents, and to inform the debtors (third parties) that the claim has been assigned to us. In such cases, we shall also be entitled to revoke the customer’s authorisation to resell and process the goods subject to retention of title.
(d) If the realisable value of the securities exceeds our claims by over 10%, we shall release securities of our choice at the customer’s request.
§ 8 Customer’s Claims for Defects
(1) In the event of material defects and defects in title (including incorrect and insufficient deliveries, improper assembly or inadequate assembly instructions), the customer may exercise the rights stipulated by law, unless otherwise specified below. In all cases, the special legal provisions shall apply if the unprocessed goods are delivered to an end consumer, even if the consumer has processed the goods (recourse against the supplier in accordance with Section 478 BGB). The customer shall not be entitled to claims arising from recourse against the supplier if the defective goods have been additionally processed by the customer or another entrepreneur (e.g. integrated into another product).
(2) Our liability for defects shall primarily be based on the agreement made regarding the quality of the goods. All product descriptions and manufacturer information which relate to the specific contract or which have been published by us (e.g. in catalogues or on our website) at the time the contract is concluded shall be regarded as agreements regarding the quality of the goods.
(3) Any deviations that are customary within the industry, particularly with regard to quality, weight, colour, dimensions, performance and quantities, shall be permissible and shall not constitute a defect.
(4) If a certain quality has not been agreed, the statutory provisions shall be consulted to determine whether the goods are defective (second and third sentence of Section 434 (1) BGB). However, we shall not assume liability for any public statements made by the manufacturer or other third parties (e.g. advertising statements) which the customer has not described as playing a key role in its decision to purchase the goods.
(5) We shall not be held liable for any defects that the customer is aware of – or unaware of through gross negligence – at the time the contract is concluded (Section 442 BGB). In addition, the customer shall only be entitled to assert claims for defects after fulfilling its statutory obligations to inspect the goods and report any defects in accordance with Sections 377 and 381 of the German Commercial Code (HGB). In the case of building materials and other goods intended for installation or further processing, an inspection must always be carried out immediately before processing. If a defect becomes apparent upon delivery, during the inspection or at a later point in time, we must be immediately notified in writing. In any case, however, obvious defects must be reported in writing within 5 working days of the delivery and any defects that were not recognisable during the inspection must be reported in writing within 5 working days of their discovery. The written notification must include photographic documentation. If the customer fails to properly inspect the goods and/or report any defects, our liability for defects that are not reported properly and in good time shall be excluded in accordance with the statutory provisions.
(6) If the delivered items are defective, we may first choose to rectify the situation by remedying the defect (repair) or delivering a faultless item (replacement). However, we reserve the right to refuse to rectify the situation if the legal requirements are met.
(7) We shall be entitled to ask the customer to pay the purchase price before taking the necessary rectification measures. However, the customer shall be entitled to withhold a reasonable part of the purchase price in relation to the defect.
(8) The customer must give us the necessary time and opportunity to rectify the situation, particularly by providing us with the allegedly defective goods for inspection purposes. In the case of a replacement delivery, the customer must return the defective item to us in accordance with the statutory provisions. Our rectification measures shall not include the removal of the defective item or its re-installation if we were not originally obliged to install the goods.
(9) If the goods are not defective, we may demand the reimbursement of any costs incurred as a result of the customer’s unjustified request for the rectification of defects (particularly testing and transport costs), unless the lack of defects could not be recognised by the customer.
(10) Even in case of defects, the customer may only assert claims for damages or the reimbursement of wasted expenses in accordance with § 9 below; all other claims shall be excluded.
§ 9 Other Liability
(1) Unless specified otherwise in these general terms and conditions of sale, including the provisions below, we shall be held liable for the violation of our contractual and non-contractual duties in accordance with the statutory provisions.
(2) We shall be liable to pay damages, regardless of the legal reason, as part of our liability for intent and gross negligence. In the case of simple negligence, and subject to the statutory restrictions of liability (e.g. care in our own affairs, insignificant breach of duty), we shall only be liable for:
a) damages resulting from injury to life, limb or health; and
b) damages resulting from the violation of an essential contractual duty (an obligation which must be observed to enable the proper performance of the contract in the first place and on the observance of which the customer may regularly depend) – in such cases, however, our liability shall be limited to compensation for the typically foreseeable degree of damage.
(3) The restrictions of liability indicated in § 9 (2) above shall also apply in relation to third parties and if breaches of duty are committed by persons (also in their favour) for whose actions we are held accountable under the statutory provisions. They shall not apply if a defect is fraudulently concealed, if the qualities of the goods have been formally guaranteed, or if the customer asserts claims under the German Product Liability Act (ProdHaftG).
(4) In the event of a breach of contract that does not relate to a defect, the customer may only terminate or withdraw from the contract if we are responsible for the breach of duty. The customer shall not have a free right of termination (particularly excluding the rights described in Sections 650 and 648 BGB). The statutory requirements and consequences shall otherwise apply.
§ 10 Limitation Period
(1) By way of derogation from Section 438 (1) No. 3 BGB, any claims arising from material defects and defects of title shall generally expire within one year of delivery. If a formal acceptance procedure has been agreed, the limitation period shall begin once the goods have been accepted.
(2) If the goods are buildings or objects that have been used for a building in accordance with its normal use and have caused defects in the building (construction material), any claims for such defects shall expire within 5 years of delivery, as stipulated by law (Section 438 (1) No. 2 BGB). Other special statutory regulations on limitation periods shall also remain unchanged (particularly Section 438 (1) No. 1, Section 438 (3), Section 444 and Section 445b BGB).
(3) The above limitation periods under sales law shall also apply to any contractual and non-contractual claims for damages held by the customer because of a defect in the goods, unless the application of the regular limitation period (Sections 195 and 199 BGB) would result in a shorter limitation period in a particular case. Any claims for damages held by the customer in accordance with the first and second sentence (a) of § 9 (2) – or under ProdHaftG – shall expire exclusively within the legally prescribed periods.
§ 11 Copyrights
We hold the copyrights to all images, films and texts published in our online shop. All such images, films and texts must not be used without our express consent.
§ 12 Applicable Law and Place of Jurisdiction
(1) These general terms and conditions of sale and the contractual relationship between us and the customer shall be subject to the laws of the Federal Republic of Germany to the exclusion of international uniform law, particularly the United Nations Convention on Contracts for the International Sale of Goods (CISG).
(2) If the customer is a “merchant”, as described in the HGB, a legal person incorporated under public law or a special fund incorporated under public law, our registered office in 48161 Münster (Germany) shall be the exclusive – and international – place of jurisdiction for all disputes arising directly or indirectly from the contractual relationship. The same shall apply if the customer is an “entrepreneur”, as defined in Section 14 BGB. In each case, however, we shall also be entitled to take legal action at the place of performance for the delivery, as indicated in these general terms and conditions of sale or in a prioritised individual agreement, or at the customer’s general place of jurisdiction. This shall have no bearing on the prioritisation of certain statutory provisions, particularly those relating to exclusive competences.
